TEMPO.CO, Jakarta - PT XL Axiata Tbk announced two of its directors who resigned. On the Indonesia Stock Exchange (IDX) information disclosure website, Corporate Secretary of PT XL Axiata Tbk Ranty Astari Rachman said the two directors who resigned were the Company's Director Rico Usthavia Frans and I Gede Damuyusa.
Ranty said the reason for the resignation of the two directors was personal reasons. "The resignation of Mr. Rico Usthavia Frans will be effective since the approval of the Company's nearest General Meeting of Shareholders is obtained. Meanwhile, the resignation of Mr. I Gede Darmayusa as director will be effective when the company's corporate merger action is declared effective," he said as quoted from the IDX Information Disclosure, Wednesday, January 8, 2025.
Furthermore, Ranty said the resignation request would be decided at the Company's nearest General Meeting of Shareholders in accordance with the company's articles of association and applicable laws and regulations.
Previously, there was a high-ranking official from PT XL Axiata who also resigned at the end of 2024. He was Abhijit Navalekar. Abhijit is known to have resigned from his position as director and sent the resignation letter on Tuesday, December 24, 2024.
Ranty also said that Abhijit's resignation was also due to personal reasons. XL Axiata's Head of External Communications Henry Wijayanto did not want to provide further information regarding Abhijit's resignation from the board of directors. "In accordance with public disclosure, it will be decided at the nearest GMS," said Henry via a messaging application some time ago.
Henry said that the agenda for the nearest GMS of the company coded EXCL is the Extraordinary GMS which will be held on March 21, 2025. The agenda will also discuss the finalization of the merger between XL Axiata and PT Smartfren Telecom Tbk which is currently underway.
As is known, PT XL Axiata Tbk and PT Smartfren Telecom Tbk have finally announced a merger agreement with a combined value of IDR 104 trillion. Later, the combination of the two entities will form a company called PT XLSmart Telecom Sejahtera Tbk.
Previously, on Tuesday, December 3, 2024, XL Axiata's President Director, Dian Siswarini, also submitted her resignation from her position. Dian emphasized that the decision was not related to the ongoing merger process between XL Axiata and Smartfren.
